Company Registration
What this covers
Choosing the wrong structure is expensive to undo. Before filing anything we walk through how the entity will actually be used — who is investing, whether outside capital is coming in, what the compliance appetite is — because a private limited company and an LLP impose very different ongoing obligations.
Incorporation itself is handled through the integrated SPICe+ process, which bundles name reservation, incorporation, PAN, TAN and other registrations into a single filing.
Incorporation is the start of a compliance clock, not the end of a task. We hand over with the first-year obligations mapped to dates, so the statutory filings that follow are not a surprise.
How the engagement runs
- 01
Structure selection
A short advisory session comparing liability, compliance load, tax treatment and fundraising suitability across entity types.
- 02
Name reservation
Name availability checked against the MCA register and existing trade marks before we apply, to avoid rejection cycles.
- 03
Incorporation filing
DSCs issued, MOA and AOA drafted to your business objects, and the SPICe+ forms filed with all attachments.
- 04
Post-incorporation setup
Certificate of incorporation, PAN, TAN, bank account documentation and a first-year compliance calendar.
Common questions
- Private limited company or LLP — which should I choose?
- A private limited company is the practical choice if you intend to raise external equity, issue ESOPs, or bring in institutional investors, since it supports share capital. An LLP carries a materially lighter annual compliance burden and suits professional practices and closely held businesses that do not plan to raise equity.
- Do I need a physical commercial office to register?
- The registered office must be an address capable of receiving official communication, and residential premises are permitted. You will need proof of address and, where the premises are not owned by a director, a no-objection certificate from the owner.
