What this covers

ROC penalties are per-day and they do not lapse. A form filed late accrues additional fees for every day it remains unfiled, which is why a dormant company with no operations can still accumulate a significant liability purely through inaction.

We maintain the full annual cycle — financial statements filed in AOC-4, the annual return in MGT-7 or MGT-7A, director KYC, and the meeting records and statutory registers that a diligence exercise will eventually ask to see.

Common questions

My company has had no business activity. Do I still have to file?
Yes. Annual ROC filings and director KYC are obligations of the entity's existence, not of its turnover, and a company with nil operations must still file. If the entity is genuinely no longer needed, dormant status or strike-off is usually cheaper than carrying the compliance indefinitely.
What happens if annual filings are missed?
Additional fees accrue on a per-day basis until the form is filed, and prolonged default can lead to the company being struck off and its directors being disqualified from holding directorships. The exposure grows continuously, so regularising early is materially cheaper than waiting.
